coderband sites Terms of Service
Status: Draft · Effective date: not yet in effect (draft)
These terms cover coderband sites, a service of coderband LLC. We find local businesses whose websites could work harder for them, build a new site from public information, show it to the owner as a private preview, and, if the owner buys it, put it live on their own domain and host it. We've written these terms in plain English.
In short:
- A preview costs you nothing and commits you to nothing. Ask and we delete it at once.
- The Launch package is $1,950, paid once by card, and includes 12 months of hosting.
- Not happy? You get a full refund if you ask before your site goes live or within 14 days after it does.
- Once you've paid, the site's content and design are yours. Your name, logo, photos and words were always yours.
- Nothing renews on its own after the first year. We'll ask you first, and if you leave, you get your files.
- Wyoming law applies.
1. About these terms
1.1 Who we are. "We", "us" and "coderband sites" mean coderband LLC, a Wyoming limited liability company (Wyoming state ID 2025-001816694), of 75 E 3rd St, Ste 7, Sheridan, WY 82801, USA. coderband sites is a service of coderband LLC. Contact: hello@coder.band.
1.2 What these terms cover. These terms apply to coderband sites only:
- coderbandsites.com and its pages;
- the private preview pages we serve at
https://coder.band/sites/<name>/; - the checkout and onboarding pages at
https://coder.band/sites/-/; - the editing panel at
https://panel.coderbandsites.com; and - the sites we build and host for our clients.
coderband LLC also offers other services under the coderband name. Those are governed by coderband's own terms and privacy policy at coder.band, not by these terms. These terms don't change them, and they don't change these terms.
1.3 Who "you" is. "You" means the business that views a preview, buys from us or uses our service, and the person acting for it. Our service is for businesses. By buying, you confirm that:
- you are buying for a business purpose, not as a consumer;
- you are at least 18; and
- you own the business named on the preview, or you are authorized to act for it.
1.4 How you accept. You accept these terms when you pay at checkout, or when you use the panel or our hosting. The version in effect on the day you pay governs that purchase (Section 17).
1.5 Other packages. For now we sell one package, Launch (Section 3). If we offer other packages later, they may come with their own additional terms, which we'll show you before you buy.
2. Previews
2.1 What a preview is. We may build a website for your business without being asked, using only public information about it: your current website, your Google Business Profile, licensing boards, the Better Business Bureau and your public social pages. We then put it online as a private preview and email you about it.
2.2 No obligation. A preview is an offer, not an invoice. You don't owe us anything and don't have to reply.
2.3 How private it is. A preview is unlisted: it isn't linked from anywhere public, and it tells search
engines not to index it (noindex). Anyone who has the link can open it, so please don't treat it as secret.
2.4 How long it stays up. We delete a preview 30 days after our first email to you about it, or at once if you ask. Once deleted, the link shows the same "not found" page as an address that never existed. If we never email you, the preview expires on its own.
2.5 How to say no. Reply "no thanks" to our email, or write to hello@coder.band. We'll delete the preview and won't write to you again. We act on this within 10 business days, and usually much sooner.
2.6 Placeholders and mistakes. We don't invent facts. Where we couldn't find something in public sources (a licence number, years in business, a service area), the preview shows a clearly marked placeholder for you to fill in. If a preview gets something wrong about your business, tell us and we'll fix it or take the preview down.
2.7 Before you buy. Until you pay, the preview's design and code belong to us. Your business name, logo, photos and words stay yours (Section 11). Please don't copy the preview's design or code unless you buy it.
2.8 Third-party content. Some previews show something your current site already uses, such as an embedded map or booking widget. That content comes from its provider and is governed by that provider's terms. If you think a preview uses content that isn't the business's own, email hello@coder.band and we'll look into it and remove it if it shouldn't be there.
3. Buying the Launch package
3.1 Price and payment. The Launch package costs $1,950, paid once and upfront, by card, through Stripe. Prices are in US dollars.
3.2 What's included.
- The site. Every page of your current site rebuilt, plus a page for each of your main services, on a layout designed for phones first, up to 25 pages.
- Ways to reach you. Clear call and quote buttons, and a contact form that sends requests to your inbox (Section 12).
- Your existing tools. Embedded tools and links your current site uses (booking widgets, review embeds, maps, payment links) carried over.
- Your brand, refreshed. We keep your existing logo and brand. Where it's needed, we clean up your existing logo as a vector file. We don't design a new logo.
- Copy. We can refresh the wording on your site if you want us to.
- One revision round before go-live (Section 5.3).
- A privacy policy for your site, from our template (Section 12.4).
- Your old addresses. Important pages of your old site redirect to the matching pages of the new one.
- 12 months of hosting on our Cloudflare setup, starting on the day your site goes live (Section 6).
- The panel, where you edit your own text, photos and links (Section 7).
- 14 days of fixes for bugs in what we delivered, starting on the day your site goes live.
3.3 What's not included.
- Your domain name, its registration and renewals. You keep your domain and pay your registrar directly.
- Your email service. We never change your email settings (Section 5.5).
- Third-party subscriptions, such as a booking tool or review service, which you keep paying their providers for.
- Online shops, customer logins or custom systems.
- A new logo, or work beyond the list in 3.2. We're happy to quote for it separately.
3.4 No promises about results. A better website should help, but we don't promise any number of calls, leads or sales, or any ranking in Google or other search engines.
3.5 Checking who's buying. Before your site goes live, we check that the buyer owns or is authorized to act for the business and controls its domain. If we can't confirm this, we won't put the site live, and we'll refund you in full.
4. Our guarantee and refunds
4.1 If you're not happy. If you aren't happy with your site, you get a full refund of the $1,950. You can ask at any time before your site goes live on your domain, or within 14 days after it goes live. You don't have to give a reason, though we'd like to hear it.
4.2 If we're too slow. If we can't get your site live within 30 days of your payment for reasons on our side, you can ask for a full refund. Delays while we wait for you, your registrar or another third party aren't on our side.
4.3 How to ask. Email hello@coder.band from the email address you used at checkout, or reply to any email from us.
4.4 How you're refunded. We refund the full amount to the card you paid with, through Stripe. How long it takes to reach your account depends on your bank.
4.5 After a refund. We take the site down, delete the preview, and stop hosting. The design and code we made go back to us (Section 11.6). Your own name, logo, photos and words stay yours.
4.6 What the guarantee covers. The guarantee covers the Launch package price. Payments for a hosting plan after the first year (Section 6.3) aren't refunded under this guarantee; if you cancel a plan, it runs to the end of the period you've paid for.
4.7 Before you dispute a charge. If something's wrong, please ask us first. We would rather refund you than have you go through your bank.
5. Getting your site live
5.1 What we need from you. After you pay, we'll ask you for:
- access to your domain's DNS settings, or for you to make one change yourself (5.4);
- the email address you'll use to sign in to the panel;
- where the contact form should send requests; and
- your corrections, and the details for any placeholders.
5.2 When. We aim to put your site live within 48 hours of receiving everything we need. This is a target, not a guarantee. Your refund rights if we take too long are in Section 4.2.
5.3 Your approval. Nothing goes live until you've checked and approved the content. One round of revisions before go-live is included: send us your changes together, and we'll make them. After go-live, you can change text, photos and links yourself in the panel.
5.4 Your domain. You keep your domain and your registrar account. To connect it, you (or we, with access
you give us at your registrar) add a CNAME record pointing www to edge.coderbandsites.com, and set your
bare domain (without www) to forward to www at your registrar. Some registrars can't forward the bare
domain over HTTPS; if yours can't, we'll tell you and explain the options. We issue the HTTPS certificate for
your www address.
5.5 Your email stays as it is. Before changing anything, we record your current DNS settings. We never change your email records (MX, SPF, DKIM or DMARC), and we check afterwards that they're unchanged.
5.6 Your old host. Once your new site is live, we'll tell you which services at your old host you can cancel, and when. Cancelling them is up to you.
5.7 "Go-live". Your site "goes live" when it is first served on your own domain.
6. Hosting
6.1 The first 12 months. Hosting for the first 12 months after go-live is included in the Launch price.
6.2 Nothing renews on its own. Before your first year ends, we'll contact you and ask what you'd like to do. We won't charge you for anything after the first year unless you choose a plan.
6.3 Plans after the first year.
| Plan | Price | What you get |
|---|---|---|
| Hosting | $29 a month, or $290 a year | Hosting, the panel and form delivery, as in the first year |
| Care | $79 a month | Hosting, plus 30 minutes of changes made by us each month and priority fixes |
If you choose a plan, we bill it by card through Stripe, monthly or yearly as you choose, until you cancel. You can cancel at any time; the plan runs to the end of the period you've paid for, and then Section 15.3 applies.
Unused Care minutes don't carry over to the next month. We may change plan prices for future periods; we'll tell you by email at least 30 days before a new price applies to you.
6.4 If you don't choose a plan. We'll send you your site's files and content, give you 30 days' notice, and then stop hosting your site (Section 15).
6.5 How we host. We host client sites on Cloudflare. We work hard to keep your site fast, secure and online, but we host on a best-effort basis: we don't offer an uptime guarantee or service-level agreement. Outages at Cloudflare, at your registrar or elsewhere on the internet can affect your site. We update our platform from time to time, for example to fix security issues.
6.6 Suspension. We may take a site offline, or switch off its contact form, without notice if:
- it contains illegal content, or content that breaks Section 9;
- it is being used for abuse, such as spam, phishing or malware; or
- there is a security emergency affecting it or our other clients.
We'll tell you as soon as we can, explain why, and bring the site back once the problem is fixed, where we can.
7. The panel
7.1 What it does. In the panel at https://panel.coderbandsites.com you can edit the text, photos and
links we've marked as editable on your site. Your changes go live in seconds.
7.2 Signing in. You sign in with a link we email to your sign-in address. Each link works once and expires after 15 minutes. Anyone who can read that inbox can sign in, so keep it secure and tell us at once if you think someone else has access.
7.3 History and restore. Every change is saved as a version, with who made it. You can restore any earlier version.
7.4 Your changes are yours. You're responsible for what you or anyone you give access to publishes through the panel, including that it is accurate and allowed (Sections 8 and 9).
7.5 Limits. The panel edits content, not the design or layout. Fields may have length limits, and links must be web, phone or email links. Bigger changes are something we can quote for, or are part of Care (Section 6.3).
8. Your responsibilities
8.1 Accurate content. We build only from public information about your business and mark anything we don't know as a placeholder. Before go-live, you check and approve everything on your site. You are responsible for the accuracy of your site's content, including licence numbers, insurance, service areas, prices, guarantees and any claims about your business.
8.2 Rights in what you give us. You confirm that you have the rights to everything you give us or publish on your site, such as photos, logos, text and reviews, and that we may use it as Section 11.4 describes.
8.3 Reviews and testimonials. Show only real reviews from real customers. We won't write or invent reviews or testimonials, and you mustn't add fake ones.
8.4 Your domain and accounts. You keep your domain registered and renewed, and you keep your registrar, email and panel accounts secure.
8.5 Your site's privacy policy. Your site is yours, so its privacy policy is yours too. We provide one from our template (Section 12.4), but you are responsible for checking that it's right for your business.
8.6 The laws that apply to your business. You are responsible for following the laws that apply to your business and to what your site says. We don't give legal advice.
9. Acceptable use
You must not use your site, the panel or our service to:
- break any law, or help anyone else do so;
- publish anything false or misleading, including fake reviews or testimonials, or licences, credentials or awards you don't have;
- infringe anyone's copyright, trademark or other rights;
- publish content that is hateful, harassing, sexually explicit or violent;
- send spam, or collect information for spam;
- host phishing pages, malware or anything that harms visitors' devices;
- pretend to be someone else, or another business; or
- attack, overload or probe our systems, or try to access other clients' sites or data.
If you break these rules, we may remove the content or suspend the site (Section 6.6), and in serious or repeated cases end our service to you (Section 15.4).
10. Rights in other people's content
If you believe a preview or a site we host uses your content without permission, email hello@coder.band with the page address, what you believe is yours, and how to reach you. We'll look into it promptly, and we'll remove the content if it shouldn't be there.
11. Who owns what
11.1 What you own on payment. Once you've paid in full, you own your site's content and the design we made for you. We assign to you all our rights, including copyright, in what we created specifically for your site.
11.2 Our kit and platform. We build every site from our own reusable kit (shared components, layouts and trade presets), and we run it on our own platform and tools (the hosting setup, the panel, form handling and our build tools). We keep these. Where parts of our kit are in your site, we give you a permanent, non-exclusive, royalty-free licence to use, copy and change them as part of your site, for as long as you use it, including the exported files after you leave us. This licence doesn't let you resell our kit on its own or use it to build other sites.
11.3 What you always own. Your business name, logo, photos, text and other materials are and stay yours.
11.4 Licence to us. You give us a non-exclusive, royalty-free licence to copy, store, adapt (for example resize a photo) and display your materials, only to build, preview, host and support your site. This licence ends when we stop hosting your site, except for copies we keep as business records or in backups that are deleted on their normal schedule.
11.5 Portfolio. We'll show your site in our portfolio or marketing only with your permission, and you can withdraw it at any time.
11.6 After a refund. If we refund you, ownership of the design and content we created returns to us, and you stop using them. Your own materials stay yours.
11.7 Before payment. A preview's design and code belong to us until you pay (Section 2.7). We use your business's public information in a preview only to show you the site we built for you.
12. Data on your site (forms)
12.1 Our role. When visitors use the contact form on your site, we handle their details on your behalf, as your service provider. You decide why those details are collected; we process them only to run your site.
12.2 What we do with form messages. We email each message to the address you choose, with Reply-To set to the visitor so you can reply directly, and we store it for 90 days so you can see it in the panel. Then we delete it from our systems. Copies in your inbox are under your control.
12.3 Our promises. For form data and other personal information we handle for your site, we:
- use it only to provide our service to you, and never for our own marketing or anyone else's;
- don't sell it or share it for cross-context behavioral advertising;
- don't combine it with personal information from other sources, except as needed to provide the service (for example, filtering spam);
- keep it secure with reasonable safeguards, and tell you without undue delay if we learn of a breach affecting it;
- help you respond to requests from your visitors to see or delete their details; and
- delete it as described above, and when we stop hosting your site.
12.4 Your site's privacy policy. Every site ships with a privacy policy from our template, filled in from what the site actually does and the details you give us. It's a template, not legal advice. Your site sets no cookies and has no analytics unless you ask us to add them, and if you do, the policy must be updated to match.
12.5 Spam filtering. We filter obvious spam, so now and then a genuine message may be caught. We don't guarantee that every message is delivered; please keep another way for customers to reach you, such as your phone number, on your site.
13. Disclaimers
To the extent the law allows, our service is provided "as is" and "as available". Apart from the promises we make in these terms, we don't give any warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We don't promise that your site will be online all the time or free of errors, or that it will bring you any particular results.
14. Limit on liability
To the extent the law allows:
- Cap. Our total liability for all claims relating to coderband sites is limited to the amount you paid us in the 12 months before the event that gave rise to the claim.
- No indirect losses. We aren't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business, customers or data, even if we were told they were possible.
Nothing in these terms limits liability that the law doesn't allow to be limited.
15. Ending the service and taking your site with you
15.1 You can leave at any time. Tell us by email. We'll send you your site's files and content.
15.2 What you get. Your export contains your site's files with your latest content and images, ready to be hosted elsewhere, and your content in a readable form. Our platform features, the panel and the contact form handling, don't come with the export, because they run on our servers. You'll need another way to receive form messages, such as a form service at your new host. The licence in Section 11.2 continues for the exported files.
15.3 No plan after the first year. If you don't choose a plan (Section 6.4), or you cancel one, we send your export, give you 30 days' notice, and then stop hosting your site.
15.4 When we can end the service. We may end our service to you:
- if you seriously or repeatedly break these terms, especially Section 9, and, where it can be fixed, you don't fix it within 14 days of our email; or
- if a hosting plan payment fails and isn't sorted out within 14 days of our email.
Unless the law or an emergency stops us, we'll still send you your export.
15.5 If we stop offering coderband sites. We'll give you at least 30 days' notice, send you your export, and help you move your site.
15.6 Refunds on ending. Apart from the guarantee (Section 4), ending the service doesn't entitle you to a refund of the Launch price or of a plan period you've already started.
15.7 After hosting ends. We remove your site from our hosting, delete your panel content and stored form messages, and keep only the business records we need (for example payment records).
16. Law and disputes
16.1 Talk to us first. If something goes wrong, email hello@coder.band. Most problems can be sorted out quickly.
16.2 Governing law. Wyoming law governs these terms, without regard to its conflict-of-law rules.
16.3 Courts. Any dispute goes to the state or federal courts located in Sheridan County, Wyoming, and you and we agree to their jurisdiction. Either of us may instead bring a claim in a small-claims court that has jurisdiction.
17. Changes to these terms
We may update these terms. If we make a material change, we'll email our clients before it takes effect and post the new version here with a new effective date. The version in effect when you made a purchase governs that purchase. A later purchase, such as a hosting plan after your first year, is governed by the version in effect when you make it.
18. General
- Whole agreement. These terms, and anything we agree in writing for your site, are the whole agreement between us about coderband sites.
- Email counts. Notices may be given by email: to us at hello@coder.band, and to you at the email address you used at checkout or have since given us.
- Transfer. We may transfer these terms to a successor to our business, and we'll tell you if we do. If you sell your business, tell us and we'll move your site to the new owner.
- Events beyond control. Neither of us is responsible for delays caused by events beyond reasonable control, such as major outages at our providers, natural disasters or government action.
- Severability. If a court finds part of these terms unenforceable, the rest still applies.
- No waiver. If we don't enforce a term straight away, we can still enforce it later.
- Independent parties. We are independent businesses; these terms don't create a partnership or employment relationship.
